SR-1 SUPPLY & PILOT TERMS OF SERVICE
These Terms of Service (“Terms”) govern the purchase and subscription supply of SR-1 professional cleaning solution (“Product”) from Red Carpet Cleaning Solutions (“Company,” “we,” “us”) by the subscribing business (“Customer,” “you”).
By subscribing, purchasing, or participating in a pilot program, Customer agrees to the following:
1. COMMERCIAL USE ONLY
SR-1 is a professional-grade cleaning solution intended for commercial use by cleaning service providers. Customer agrees to use the Product only in connection with its cleaning business and in accordance with all label directions and applicable safety guidelines.
2. SUBSCRIPTION SUPPLY
SR-1 is supplied on a recurring subscription basis unless otherwise agreed in writing.
- Each subscription unit consists of one case (6 bottles)
- Billing occurs on a recurring monthly basis
- Pricing includes standard shipping within the United States unless otherwise stated
- Subscription quantities may be increased or decreased by Customer with reasonable notice before the next billing cycle
3. PILOT PROGRAM TERMS (IF APPLICABLE)
Customers participating in a pilot program receive product under a trial evaluation structure designed to test real-world usage.
Pilot terms include:
- Discounted product pricing during the pilot period
- Agreement to actively use the product in normal business operations
- Agreement to provide reasonable feedback if requested
Clawback Provision
If Customer elects to cancel service and not continue after the pilot period, Customer agrees to reimburse the Company for any pilot-discounted product received at the agreed wholesale rate per case, less any amounts already paid.
This ensures the pilot remains a good-faith evaluation and not a free product program.
4. CANCELLATION
Customer may cancel their subscription at any time. Cancellation will stop future shipments and billing.
However:
- Charges already processed are non-refundable once product has shipped
- Pilot clawback terms (Section 3) apply where applicable
5. SHIPPING & RISK OF LOSS
Title and risk of loss pass to Customer upon delivery to the shipping carrier. Company is not responsible for carrier delays, lost packages, or damage in transit, but will reasonably assist in resolving shipping issues.
Customer is responsible for providing accurate shipping information.
6. PRODUCT PERFORMANCE DISCLAIMER
SR-1 is designed to assist with the treatment of common carpet and fabric spots and stains. Because surfaces, fibers, dyes, and prior treatments vary widely, no guarantee of specific cleaning results is made.
Customer acknowledges that proper testing, application, and professional judgment are required when using any cleaning product.
7. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
- Company shall not be liable for incidental, indirect, or consequential damages arising from use or misuse of the Product
- Company’s total liability shall not exceed the amount paid by Customer for the Product in the previous three (3) months
8. NO TERRITORIAL EXCLUSIVITY
Purchase or participation in a pilot program does not grant Customer exclusive territorial rights unless explicitly agreed in a separate written agreement signed by both parties.
9. INTELLECTUAL PROPERTY
All branding, product formulas, labels, and materials related to SR-1 remain the intellectual property of Red Carpet Cleaning Solutions. Customer may not replicate, reverse engineer, or repackage the Product.
10. MODIFICATIONS
Company may update these Terms from time to time. Continued subscription after updates constitutes acceptance of the revised Terms.
11. GOVERNING LAW
These Terms shall be governed by the laws of the State of Utah, without regard to conflict of law principles.
